Scope of These Terms of Use

These Terms of Use apply to all contracts concluded with us — SX-Tool (SX TOOL CO LTD) — via the sx-tool.com website. Your own differing conditions are excluded unless expressly agreed. A "consumer" is any natural person acting outside their trade or profession; a "businessman" acts within their commercial or independent professional activity.

Conclusion of the Contract

The subject of the contract is the sale of products and services. Placing a product on our website constitutes a binding offer; the purchase agreement is concluded through the online shopping-cart system when you submit the order. Order execution and contract details are delivered by email — ensure your address is correct and not blocked by a spam filter.

Customised Products and Data You Provide

For individually designed products, you must supply the required information promptly and ensure it does not violate third-party rights or applicable law — you indemnify us against related claims. We do not check submitted data for accuracy and assume no liability for errors within it.

Payment

Available payment methods are shown on the website or in your quote, and payment claims become payable immediately unless stated otherwise. For advance-payment arrangements we may perform a validity check and reserve the right to reject a payment mode based on its result. Bank charges arising from failed debit obligations are borne by you.

Retention of Title

Goods remain our property until the purchase price is paid in full. For business customers, retention of title extends to all claims from the ongoing business relationship; resale within orderly transactions is permitted with the resulting claims ceded to us up to the billing amount.

Warranty

Statutory warranty rights apply. For second-hand items, the warranty period is one year from delivery, excluding damages from wilful intent or gross negligence and injury to life, limb or health. Consumers should check deliveries promptly for completeness and transport damage and notify us and the carrier — legal warranty claims are unaffected either way.

Remote Support Disclaimer

Remote support sessions interact directly with your vehicle's ECUs, and success depends on the environment you provide. By purchasing or initiating a remote session you acknowledge and agree to the responsibilities below — they are the conditions that keep modules safe during programming.

• Stable vehicle power supply — an external battery support unit holding at least 13.5 V and 25 A minimum. Standard trickle chargers are not adequate; unstable power is the leading cause of ECU failure during programming.
• Pre-existing vehicle health — no active warning lights or known electrical faults before the session; our service is not a repair service for existing faults.
• Stable work environment — a functioning Windows PC meeting our requirements, wired internet where possible, and quality interface cables.
• Adherence to instructions — do not touch the computer, cables or ignition during the session unless the technician instructs you to.

Choice of Law and Jurisdiction

Chinese law applies, without prejudice to mandatory consumer protections in your country of residence. For business customers, our place of business is the place of jurisdiction and fulfilment.
